Terms of use
Version 5.2 · 2 November 2026
Public copy: https://darktrade.ai/legal/v5/terms
In force from: the day this version is published at the address above. For your account, it applies from the day you accept it in the app.
The short version
This summary does not replace the terms below.
- DarkTrade is software. It shows public data about large Hyperliquid accounts ("whales") and lets you copy their trades on your own Hyperliquid account, or on your own exchange account where the app offers one.
- Your money stays in your own wallet, your own Hyperliquid account and any exchange account you connect. We never hold your trading money. The only money we hold is a fee balance, if you add one to pay our fee on exchange trades.
- Nothing in DarkTrade is advice. You can lose money. Read the risk disclosure: https://darktrade.ai/legal/v5/risk
- We earn a fee on the trades we place for you. Once we have a Hyperliquid referral code, we also earn a referral share from Hyperliquid.
- Trading is not available in the United States, Ontario or sanctioned places, or to citizens of Cuba, Iran, North Korea, Syria, Russia or Belarus. The full list: https://darktrade.ai/legal/v5/restricted
1. The agreement
These terms are an agreement between you and DarkTrade, operated by Arshia Shahrabadi, an individual based in the United Arab Emirates (Tower B, Paramount Hotel, Business Bay, Dubai). DarkTrade is not a registered company. In these terms, "we" and "us" mean Arshia Shahrabadi, operating DarkTrade.
- You accept these terms by ticking "I've read the terms, privacy policy and risk disclosure" when you create your account. We store that tick with the time and the version of each document.
- The privacy policy (https://darktrade.ai/legal/v5/privacy) and the risk disclosure (https://darktrade.ai/legal/v5/risk) are part of these terms.
- You must be 18 or over. You confirm it in the eligibility statement (section 3).
- If you do not agree, do not use DarkTrade.
2. What DarkTrade is, and is not
What it is. Software with four parts:
- Whales. Real Hyperliquid accounts that our engine selects from public on-chain data. Each has a public page. The whale's numbers are the whale's own, not yours.
- Follow. Alerts when a whale you follow trades.
- Mimic. One trade on your account, in the same coin and direction as a position a whale has open now. At Market it enters at once. As a Limit, where the app offers it, it waits at the price you set (section 9).
- Copy. A share of your account follows a whale's future trades until you pause or stop it.
To mimic or copy, you need a DarkTrade wallet (or a wallet you already have) and a Hyperliquid account, and you approve a trading key that lets DarkTrade place orders there (section 10). Where the app offers it, you can also trade on an exchange account of your own (section 10A).
What it is not. DarkTrade is not a broker, an investment adviser or a bank, and it is not licensed or registered with any regulator. It is not an exchange either. We do not give investment advice, and we never hold your trading money. The only money we hold is a fee balance, if you add one to pay our fee on exchange trades (section 11). Nothing in DarkTrade is a recommendation to buy or sell anything. Whale data is public on-chain. It is not financial advice. You decide what to trade, how much and when.
It is new. DarkTrade is in an early release and still changing. Parts of it may not work as described, and we may change or remove features.
3. Who may use DarkTrade (restricted places)
You may not trade through DarkTrade if any of these is true:
- You live in, are located in, or are incorporated in:
- the United States;
- Ontario, Canada;
- Cuba, Iran, North Korea, Syria, Russia, Belarus, Myanmar, Venezuela or Afghanistan;
- the Crimea, Sevastopol, Donetsk or Luhansk regions of Ukraine.
- You are a citizen of Cuba, Iran, North Korea, Syria, Russia or Belarus, wherever you live.
- You are on a sanctions list of the United States, the European Union, the United Kingdom or the United Nations, you act for someone who is, or you are a business that such a person owns or controls.
- You are under 18.
The same list, with a version number and a date, is published at https://darktrade.ai/legal/v5/restricted. The app links to it where it asks for your eligibility statement. We may add places when the law or Hyperliquid's terms require it, and the version number changes when we do.
Hyperliquid's own terms also apply to your Hyperliquid account, including its own restrictions.
How we check
- The country your internet connection comes from, and the region, where Cloudflare reports one. If the country cannot be told, for example over Tor, you are refused.
- Your eligibility statement: one tick that says you are 18 or over, that you are not a resident or citizen of a restricted country or region, that you are not in one now, and that you are not on a sanctions list. We store the statement's exact words, the version of the list you were shown, the time, the country of your connection and a one-way scrambled form of your IP address.
- If you connect from Canada, we may ask which province you live in.
- The same statement, signed by your wallet when you turn on trading, together with your wallet's address and the list version.
- Hyperliquid's own eligibility check for your address.
- Sanctions screening of your wallet, and of the addresses that send money to it.
The check runs before your wallet is created, and again each time you renew the trading key.
You must tell the truth. Do not hide or misstate where you are, for example with a VPN. An untrue statement ends your access.
If you are refused, you can still look at whales and their pages, but you cannot make a wallet, mimic or copy. We do not suggest ways around a refusal.
If you later become ineligible, or we learn that a check was wrong, we stop new trading on your account. You can still withdraw, use Recover, export your wallet's key, disconnect and delete your account, except as the next paragraph says.
After a sanctions match on an address that sent USDC to your DarkTrade wallet, no USDC in that wallet is moved to Hyperliquid, whoever sent it, until we lift the hold. We lift it only on legal advice. While the hold lasts, Recover may not offer that USDC (sections 6 and 8). The law may also require us to refuse other actions on your account, and to report the match.
4. Your account
Signing in. You sign in with a code sent to your email, your Google account, your Telegram account, or a wallet you already have. Privy runs sign-in for us. We never sign you in by text message.
- Inside Telegram, you can sign in with Telegram or with an email code.
- Telegram in a web browser (Telegram Web) is not supported. Use the Telegram app.
- In the installed app on an iPhone, you may be offered only an email code or a wallet.
One account per person.
- The same email address always means the same account, whether you use an email code or Google.
- Outside the Telegram app, you can link Telegram to your account in Account → Sign-in methods. Other sign-in methods cannot be added in the app.
- A login that already belongs to another DarkTrade account cannot be added to yours. Write to us and we will look at it.
Account access is wallet access. Anyone who can sign in to your account can use your DarkTrade wallet. You are responsible for keeping your email, Google, Telegram or wallet login safe. Tell us at once if you think someone else got in.
Sessions last up to 7 days. Then you sign in again.
5. Your DarkTrade wallet
How it is made. Privy creates your DarkTrade wallet after you pass the eligibility check. Its address is also the address of your Hyperliquid account.
Who holds the key. Privy runs your wallet. Its key is split into key shares and is never stored whole. DarkTrade holds no key share. Our app asks your wallet to sign; you approve each request in Privy's window, except one: moving USDC that arrived at your wallet into your own Hyperliquid account.
Exporting your key. You can export your wallet's key in Privy's window, after you add an authenticator. Anyone who has the exported key controls the wallet. Once you export it, keeping it safe is up to you.
What we cannot do. We cannot restore a login you have lost, or a key you exported and then lost. Privy cannot restore a lost login either. If you lose every way to sign in and have not exported your key, you lose access to your wallet, and to your Hyperliquid account with it. A second sign-in method lowers this risk. Section 4 says which one you can add. We cannot reverse a transaction your wallet signed.
Privy. Privy runs the wallet. If Privy is down, you may not be able to sign in or sign for a while. Privy's own user terms (https://www.privy.io/user-terms-of-service) also apply to your use of Privy.
If you sign in with a wallet you already have, we make no DarkTrade wallet for you. Your wallet app asks you to approve each signature. You add funds and withdraw on Hyperliquid's own app.
6. Adding funds (deposits)
What you can send. Only USDC on the Arbitrum One network. The minimum is 10 USDC. The app shows your wallet's address only after you confirm two things: that you are sending USDC, and that you are sending it on Arbitrum One.
What happens next
- 1. Your USDC arrives in your own DarkTrade wallet.
- 2. We see it arrive.
- 3. While you have the app open, your wallet signs a move of that USDC to your own Hyperliquid account. Privy shows no window for this one signature (section 5). If you have added an authenticator, Privy asks for your passkey or app code.
- 4. Our relayer sends the signed move and pays the network fee (gas).
- 5. Circle's transfer route (CCTP) carries the USDC to your Hyperliquid account.
This usually takes about 5 minutes. It can take longer, for example 15 to 20 minutes when Circle's fast route is not available. We make no promise about timing.
Costs
- Circle's forwarding fee, taken from the amount: 0.20 USDC today, quoted live for each move.
- Hyperliquid's one-time 1 USDC activation fee on a new Hyperliquid account, taken by Hyperliquid under its own rules.
- We charge nothing for deposits, and we pay the gas.
Limits. One move carries at most 500 USDC, and an account can make 10 moves in 24 hours. A larger amount moves in parts. We may also pause moves when an overall daily limit is reached. We may change these limits.
If you are away. We send you an alert. The move waits until you next open the app. A signed move is valid for one hour; after that the app asks your wallet to sign again.
When money waits in your wallet. USDC stays in your own wallet, and is not moved, when:
- our relayer is paused or stopped;
- Circle's route is paused;
- Circle's fee is above 0.25 USDC;
- a limit has been reached;
- a deposit would take your deposits past $100 and you have not added an authenticator;
- an address that sent USDC to your wallet is flagged by sanctions screening.
Except during a sanctions hold (section 3), you can send waiting USDC elsewhere with Recover (section 8).
Bank, card and Apple Pay are not offered.
7. Withdrawals
- You withdraw from your Hyperliquid account to an address on Arbitrum One.
- Your wallet signs the withdrawal in Privy's window, after you confirm two things: that the address is on Arbitrum One, and that withdrawals cannot be reversed.
- The minimum is 2 USDC. Hyperliquid charges $1 on top. The most you can withdraw is your withdrawable balance minus $1.
- We refuse some destinations: your own DarkTrade wallet; any other DarkTrade wallet; our relayer; the USDC, Circle and Hyperliquid bridge contracts; and sanctioned addresses. If the destination is a contract, we warn you.
- A withdrawal usually arrives in about 5 minutes. It can take longer. We make no promise about timing.
- Withdrawals cannot be reversed. Money sent to a wrong address is lost.
- If you signed in with a wallet you already have, you withdraw on Hyperliquid's own app.
8. Recover funds (wrong token or network)
If you sent the wrong token, or used the wrong network, Account → Recover funds lists what sits at your wallet's address:
- On Arbitrum One: ETH, USDC.e, USDT, ARB and WETH; and USDC below the 10 USDC minimum. While deposits are paused or held, USDC of any amount is listed too, but during a sanctions hold (section 3) it may not be.
- On Ethereum and Base: USDC and USDT. You add the gas yourself.
Gas. On Arbitrum One, we may send your wallet a small amount of ETH for gas, once per account, if what is stuck is worth at least $5. This is our choice, not a right. Otherwise, add a little ETH to the address yourself, or export your key.
Tokens sent from networks that do not use Ethereum-style addresses cannot be recovered. Recover is a help, not a promise: some tokens and networks cannot be recovered at all.
9. Trading
Turning on trading. Your wallet signs three things in Privy's window: the eligibility statement, the trading key, and the builder fee (section 10).
Mimic and Copy
- You choose the size and leverage within the limits the app shows. Leverage is at most 10x.
- Positions use isolated margin: each has its own margin.
- Every position we open carries a stop order on Hyperliquid, at the whale's risk line. You can move it closer to your entry. You cannot remove it.
- Copies close a trade when the whale closes it. A mimic does the same unless you turn that off.
- You can pause or stop a copy, and close any position, in the app. The positions are yours, so you can also close them on Hyperliquid.
How orders are placed. We place limit orders that fill at once or not at all, within a small band around the market price. A Limit Mimic, where the app offers it, is different: it waits at the price you set and may never fill. It is cancelled when the whale closes, when you cancel it, when you disconnect, or at the expiry the app shows before you confirm: 24 hours, or an hour before your trading key expires if that comes sooner. If our system is late to cancel it, it can still fill after that, at your price. If it fills at or after the whale's close, we close it at once. If you disconnect and we cannot cancel it in time, the app tells you, and the order stays open on Hyperliquid. An order can fill only in part, or be missed when the price moves past our limit. We may skip an entry, for example when:
- the size is below the minimum;
- a limit in the app would be exceeded;
- the coin is not allowed;
- for a mimic, you already hold a position in that coin through DarkTrade;
- the whale has paused or left the board;
- your trading key has expired;
- our system is paused.
We make no promise that any order is placed, filled, or filled at any price.
We may pause trading, for everyone or for one account, for safety or maintenance. Open positions keep their stop orders on Hyperliquid while trading is paused.
Your results are your own. They depend on your entry, size, leverage, stop and fees, and they will differ from the whale's.
10. The trading key
In short: the trading key you approve can place and cancel orders and set leverage on your Hyperliquid account. It can't withdraw, it's never used to move your funds. It expires after 90 days, and Disconnect deletes it on our side. In detail:
- DarkTrade creates a trading key for your Hyperliquid account, and you approve it with your wallet.
- It can: place and cancel orders, set leverage, and, once DarkTrade has a Hyperliquid referral code, set that code on your account.
- It is never used to: withdraw or transfer your funds, approve another key, or raise the fee you approved. Our signing service signs only the actions above with it, and refuses everything else.
- We keep the key encrypted in a separate signing service, and we use it only for the orders described in section 9.
- It lasts 90 days. Renew it in the app. If it expires, open positions keep their stop orders, but closing with the whale, take-profit handling and new entries stop until you renew.
- To revoke it, press Disconnect in the Wallet tab. That deletes the key on our side, and we stop using it at once. Its approval on Hyperliquid lapses on its expiry date. Disconnecting does not close open positions.
The privacy policy, section 6, says more about the key.
10A. Exchange accounts
This section applies only if you connect an exchange account. The app lists the exchanges it supports.
You make an API key on your exchange account and give it to us in the app. Mimic and Copy then work there as section 9 says, with the exchange in place of Hyperliquid, except where the app shows otherwise before you confirm.
The key
- We accept a key only if the exchange shows that it cannot withdraw or transfer funds, and that it works only from our IP address, which the app shows. The app also shows the other settings the key and your account need.
- We check it when you connect and again regularly. If it can withdraw or transfer funds, we stop new trades with it and delete our copy.
- We keep it encrypted in a separate signing service, and use it only to read that account and for the futures trades you mimic or copy. We never use it to withdraw or transfer funds, or to make another key.
- We never open a trade on a coin where you hold your own position or orders.
Your money there is held by the exchange, under its own terms, never by us. Our fee comes from your fee balance (section 11).
Pauses. We pause trading on that account, and tell you, if the key stops working, if its settings or your account's change, or if the exchange restricts your account. We may also delete the key as a safety step. If your key has an expiry date, replace it in time: shortly before it expires, we stop new trades and close the positions DarkTrade opened there. The app reminds you first.
Disconnect in the app stops new trades on that account and deletes the key on our side. It does not close your open positions; the app first shows which of our orders stay on the exchange. Then delete the key on the exchange too. You can delete it there at any time, and that stops DarkTrade at once.
The exchange's terms, and where you are
- The exchange's own terms apply to your account there. Some say an API key should not be shared, or that the exchange's services should not be provided through your account to anyone else. Where that applies, the app tells you before you connect. You connect at your own risk, and the exchange may restrict or close your account.
- Each exchange decides where it offers futures. We apply its rules and ours (section 3) to your eligibility statement, your connection's country and, where the exchange gives one, your exchange account's region, and offer the exchange only where they allow it. If you later fail this check, we pause new trades there; open positions keep their stop orders.
- Use an exchange through DarkTrade only where it offers futures to you and the law where you are allows it.
11. Fees
Every ticket shows the costs in dollars before you confirm. Your History shows the fees on every fill.
- DarkTrade builder fee: 0.05% of the value of each fill of an order DarkTrade places for you (entries, stops, take-profits and closes). You approve a maximum of 0.1%. Paid to DarkTrade through Hyperliquid.
- Referral share: once DarkTrade has a Hyperliquid referral code and it is set on your account, Hyperliquid pays DarkTrade a share of the trading fees your account pays Hyperliquid, on all trading on the account, not only on orders DarkTrade places. Under Hyperliquid's referral terms today, the share is 10% of your fees, less any discount Hyperliquid gives you, for your account's first $1 billion of volume. Hyperliquid pays this share out of its own fee, so it adds nothing to your costs. Hyperliquid also gives a referred account a 4% fee discount on its first $25 million of volume.
- Hyperliquid trading fees: Hyperliquid's own rates, for example 0.045% for an order that takes liquidity at Hyperliquid's base tier. Paid to Hyperliquid.
- Funding: perpetual futures pay or charge funding while a position is open. Exchanged with other traders through Hyperliquid.
- Circle forwarding fee: 0.20 USDC per deposit today, quoted live. If the quote is above 0.25 USDC, the deposit waits. Paid to Circle.
- Hyperliquid activation fee: 1 USDC, once, on a new Hyperliquid account. Paid to Hyperliquid.
- Withdrawal fee: $1 per withdrawal. Paid to Hyperliquid.
- Arbitrum gas for deposits: paid by us, for as long as we choose to.
- Recover gas: one top-up on Arbitrum One, paid by us at our choice. Otherwise, you pay.
On an exchange account (section 10A), our builder fee and Hyperliquid's fees do not apply to the trades there. Instead:
- DarkTrade fee: 0.05% of the value of each fill of an order DarkTrade places on that account (entries, stops, take-profits and closes), taken from your fee balance. Nothing on trades you place yourself, or on a liquidation.
- The exchange's fees and funding: its own rates and rules. Paid to the exchange, or exchanged with other traders.
- Exchange referrals: if you opened the account through a link in the app, the exchange may pay DarkTrade a share of the fees you pay it, under its own terms.
The fee balance
- You add it in USDC from your own Hyperliquid account to DarkTrade's fee address, while you have an exchange account in the app, within the limits the app shows.
- It pays our fee on exchange trades and nothing else. It cannot be used for trading, and it earns nothing.
- While it is too low, we place no new exchange trades for you. Stops and closes always run, so it can go below zero; your next top-up pays that first.
- You can ask for the unused part back at any time, less what your open exchange positions' closes still need. We send it to the address it came from, and the app shows when to expect it. Until then, we place no new exchange trades for you.
- Credit we add for free is never paid out.
- We delete an account with an unused fee balance only after we refund it, or if you give it up when you delete. If you owe us, we write it off.
Changes to our fees. We may change our builder fee, or our fee on exchange trades, for future orders. We give you at least 30 days' notice before a higher fee applies. A lower fee can apply at once. The builder fee can never go above the maximum you approved. A higher maximum needs your new signature.
12. Risk
Trading perpetual futures with leverage can lose money fast, including all the money in a position. Stops can fill at worse prices. Copying always lags the whale. A whale's history does not predict your results. Smart contracts, bridges and the services we rely on can fail.
Read the full risk disclosure before you add funds: https://darktrade.ai/legal/v5/risk
13. What you must not do
- Misstate who you are or where you are, or get around the eligibility check.
- Open a new account, or use someone else's, after we refused you or ended your access under section 3 or this section.
- Use DarkTrade for anyone on a sanctions list, or to move money that comes from crime.
- Use someone else's account, or let someone else use yours.
- Attack, overload, probe or reverse-engineer DarkTrade, or get around its security.
- Copy DarkTrade's data in bulk, or resell or republish it. Linking to a whale's page, or quoting a single page with a link to it, is allowed.
- Use Recover, the relayer or our gas top-ups for anything other than your own funds.
- Break the law, Hyperliquid's terms, or the terms of Privy, Circle, Google or Telegram.
14. Our data and its accuracy
We publish figures we measure, and we correct them when they are wrong. Market and on-chain data can be late or wrong at the source. We cannot promise that the information in DarkTrade is complete, current or always available. If you think a number is wrong, tell us.
15. Services we rely on
DarkTrade depends on services we do not control: Privy, Hyperliquid, Circle, the Arbitrum network, Cloudflare, DigitalOcean (our hosting provider), Google and Telegram, WalletConnect or Coinbase Wallet if you connect a wallet app through them, and any exchange you connect. Their outages, changes and decisions can affect you, and their own terms apply to your use of them. As far as the law allows, we are not responsible for them.
16. Ending
You can stop at any time: stop your copies, disconnect, withdraw and delete your account. The privacy policy, section 12, says what deleting does and does not do.
We may suspend or end your access if you break these terms, if you fail the eligibility check, if the law requires it, or to protect you or others. We may also close DarkTrade. If we do, we tell you at least 30 days before, unless the law makes us stop sooner.
When access ends, new trading stops and the trading key, and any exchange key, are deleted. Your money stays in your own wallet, your own Hyperliquid account and any exchange account you connected. Withdrawing, Recover, exporting your key, asking for your fee balance back and deleting your account stay open, unless the law requires otherwise, for example after a sanctions match (section 3).
17. Limits of our responsibility
- DarkTrade is provided as it is, with no promise about results, availability or freedom from errors.
- We are not responsible for trading losses, market moves, slippage, liquidations, missed or partial orders, or the acts of third parties in section 15.
- We are not responsible for losses caused by a login or key you did not keep safe.
- If we are responsible to you, our total responsibility is limited to the larger of two amounts: the fees you paid DarkTrade in the 12 months before the event, or $100.
These limits apply only as far as the law allows. They do not limit our responsibility for fraud, for harm we cause on purpose or by gross negligence, or for anything else the law does not allow us to limit.
18. Your responsibility to us
If you break these terms or the law, for example by misstating where you are, you are responsible for the loss this causes us, as far as the law allows. This includes the reasonable cost of a claim someone else brings against us because of it.
19. Governing law and disputes
These terms are governed by the laws of the United Arab Emirates. The courts of Dubai decide any dispute about them or about DarkTrade.
If you have a complaint, write to us at info@darktrade.ai, and we will try to settle it.
Nothing in these terms takes away a protection that the law of the country where you live gives you and that cannot be excluded by agreement.
20. Changes to these terms
Each version has a number and a fingerprint, and both are stored with your agreement. If we change something that matters, we ask you to agree again before your next deposit, mimic or copy. Withdrawals, Recover, exporting your key, Disconnect and deletion never wait for that.
